These Terms of Use and Marketplace Terms (“Terms”) apply when you access or use aloaq.com or any related Aloaq service, feature or application (together, the “Service”).
Please read these Terms before using Aloaq.
By accessing or using Aloaq, creating an account, publishing content, sending an enquiry, communicating with another user, submitting an order or otherwise using the Service, you agree to these Terms.
If you do not agree with these Terms, you should not use the Service.
Aloaq (“Aloaq”, “we”, “us” or “our”) is a digital catalogue, business discovery and marketplace platform.
Aloaq enables businesses to present information about their businesses, products and services and enables buyers to discover businesses, communicate with them and, where available, submit enquiries, requests or orders.
Aloaq provides the digital platform and related technology.
Except where Aloaq expressly states otherwise for a particular service or transaction, products and services displayed by businesses on Aloaq are offered by those businesses and not by Aloaq.
For these Terms:
Buyer means a person or business using Aloaq to browse, enquire about, request or purchase products or services.
Seller means a business using Aloaq to advertise, list, offer or supply products or services. Depending on the business, this may include a manufacturer, distributor, wholesaler, retailer, store or service provider.
User means anyone accessing or using Aloaq, including Buyers and Sellers.
Content includes listings, photographs, logos, descriptions, specifications, prices, documents, messages, business information and other material submitted to Aloaq.
Order includes an order, purchase request, reservation request or similar transaction submitted through Aloaq.
You must be legally capable of agreeing to these Terms to create an account or enter into a transaction through Aloaq.
Business accounts must only be created or controlled by people authorised to act for the relevant business.
You must provide accurate information when creating or using an account.
You must not impersonate another person or business or falsely claim to represent a business.
Aloaq provides technology that helps Buyers and Sellers discover and communicate with each other.
Depending on the features available, Aloaq may allow Users to:
The availability of a feature may change from time to time.
Unless expressly stated otherwise, Aloaq is not the manufacturer, supplier, distributor, retailer, store or delivery provider for products listed by Sellers.
Sellers using Aloaq operate independently from Aloaq.
Listing a Seller or its products on Aloaq does not by itself mean that Aloaq:
Sellers must not represent that they are owned, employed, operated or guaranteed by Aloaq unless Aloaq has expressly confirmed that relationship.
Sellers are responsible for the information they provide through Aloaq.
A Seller must take reasonable steps to ensure that its business information is accurate and current.
This may include information such as:
A Seller must correct information that it knows is materially inaccurate or misleading.
The Seller that creates or supplies a listing is responsible for the listing.
Sellers are responsible for ensuring that descriptions, photographs, specifications, quantities, prices, availability and other product or service information they provide are accurate and not misleading.
Aloaq may provide tools that help Sellers create, organise, format or display listings.
Providing those tools does not transfer responsibility for the Seller’s listing to Aloaq.
Aloaq does not guarantee that Seller-provided information is complete, accurate or current.
Buyers should confirm important information with the Seller before making a purchasing decision where appropriate.
Prices displayed through Aloaq are provided or controlled by the relevant Seller unless clearly stated otherwise.
Sellers are responsible for ensuring their pricing information complies with applicable law.
Prices, discounts, availability and offers may change.
Where a price shown through Aloaq is clearly incorrect because of an error, the relevant Seller may have rights under applicable law to correct the error or decline the transaction.
Nothing in these Terms removes any rights a Buyer has under applicable consumer law.
Displaying a product on Aloaq does not guarantee that the product remains available.
Stock and availability can change before information displayed through Aloaq is updated.
The relevant Seller is responsible for confirming whether it can fulfil an Order.
Aloaq does not guarantee that any particular product, quantity or service will remain available.
Where Aloaq provides an ordering feature, a Buyer may submit an Order to the relevant Seller through Aloaq.
Aloaq provides the technology used to communicate the Order.
Unless expressly stated otherwise, an Order submitted through Aloaq is an Order to the relevant Seller, not an Order to Aloaq.
An automated notification from Aloaq confirming that an Order was submitted, sent or received does not mean that Aloaq has sold the product.
Whether and when a legally binding sales contract is formed between the Buyer and Seller depends on the applicable purchasing process, the Seller’s acceptance and applicable law.
The Seller is responsible for accepting, rejecting and fulfilling the Order.
Unless expressly stated otherwise for a particular transaction, the sale or supply agreement for a product or service is between the Buyer and the relevant Seller.
Aloaq is not a party to that sale agreement merely because Aloaq provided the technology through which the Buyer and Seller connected or communicated.
The Seller remains responsible for fulfilling its obligations to the Buyer.
Nothing in these Terms removes responsibilities that Aloaq itself has under applicable law.
A Seller may offer Buyers the option to collect an Order from the Seller’s location.
Where pickup is offered, the pickup arrangement is between the Buyer and Seller.
The Seller is responsible for matters within its control relating to pickup, including:
Buyers are responsible for following reasonable pickup instructions and checking the relevant pickup information.
Aloaq does not control the Seller’s premises, staff, opening hours or preparation of the Order.
To the extent permitted by law, Aloaq is not responsible for loss caused by a Seller’s failure to prepare, supply or make an Order available for pickup.
A Seller may offer delivery for some products or locations.
Unless Aloaq expressly states that Aloaq itself is providing a particular delivery service, delivery is arranged or provided by the Seller or a delivery provider used by the Seller.
The Seller is responsible for its delivery offering and for information it provides about:
The Seller and any delivery provider involved are responsible for performing their respective delivery obligations.
Aloaq does not guarantee delivery times displayed or communicated by Sellers.
Estimated delivery times are estimates unless expressly stated otherwise.
To the extent permitted by law, Aloaq is not responsible for delays, missed deliveries, damaged goods, incorrect deliveries or delivery failures caused by a Seller or independent delivery provider.
This does not exclude any responsibility Aloaq has where applicable law does not allow it to be excluded.
Payment arrangements for products or services are determined by the relevant purchasing process and Seller.
Unless a payment feature expressly states otherwise, Aloaq is not the Seller or recipient of the purchase price for products supplied by Sellers.
Where Buyers pay Sellers directly or through a third-party payment method, the relevant Seller and payment provider are responsible for their respective parts of the transaction.
If Aloaq introduces additional payment functionality in the future, additional terms or information may apply to that functionality.
Those terms will be made available before the relevant payment service is used where required.
The Seller that supplied a product or service is primarily responsible for dealing with product-related requests for returns, refunds, replacements, repairs and other remedies.
Sellers must comply with applicable consumer laws.
A Seller’s own returns or warranty policy does not override any rights that cannot lawfully be excluded.
Nothing in these Terms limits a Buyer’s rights under the Australian Consumer Law or another applicable law where those rights cannot lawfully be excluded, restricted or modified.
Where Aloaq provides communication tools that allow Buyers and Sellers to discuss a problem, providing those tools does not make Aloaq the Seller or automatically make Aloaq responsible for resolving the dispute.
Australian consumers may have rights and consumer guarantees under the Australian Consumer Law.
These rights may include guarantees relating to acceptable quality, fitness for purpose, correspondence with description and other matters provided by law.
Nothing in these Terms is intended to exclude, restrict or modify any guarantee, right or remedy that cannot legally be excluded, restricted or modified.
Where products or services are supplied by an independent Seller through Aloaq, the Seller remains responsible for its obligations to the Buyer under applicable consumer law.
Sellers are responsible for operating their own businesses lawfully.
Sellers must ensure, as applicable to their activities, that:
Aloaq’s provision of a platform does not transfer these responsibilities from the Seller to Aloaq.
Buyers must use Aloaq lawfully and in good faith.
Buyers are responsible for reviewing information relevant to their purchase and, where appropriate, confirming important matters directly with the Seller.
For significant, technical, safety-critical or business purchases, Buyers should carry out any inspections, verification or professional checks appropriate to their circumstances.
Buyers must not knowingly place fraudulent Orders, submit false information or misuse Seller information obtained through Aloaq.
Aloaq may facilitate transactions or enquiries between businesses, including manufacturers, distributors, wholesalers, retailers, stores, service providers and other businesses.
Each business remains responsible for carrying out its own commercial, technical, legal and financial checks before entering into a transaction.
Aloaq does not provide legal, financial, engineering, taxation or other professional advice about a transaction.
Unless expressly stated otherwise, Aloaq does not guarantee:
Businesses should obtain appropriate professional advice where necessary.
Buyers and Sellers are responsible for resolving disputes relating to their transactions with each other.
This may include disputes about:
Users may report problems to Aloaq through support@aloaq.com.
Aloaq may review a reported issue and may take action relating to use of the Aloaq platform where appropriate.
However, Aloaq is not required to act as an arbitrator, mediator, insurer or compensation provider for disputes between independent Buyers and Sellers unless applicable law requires otherwise.
Users retain ownership of Content they upload or publish through Aloaq.
By submitting Content to Aloaq, you give Aloaq a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, format, resize, cache and display that Content to the extent reasonably necessary to operate, maintain, secure and provide Aloaq.
Where you deliberately publish Content publicly, the licence also allows Aloaq to display and distribute that public Content through Aloaq and normal promotional previews relating to Aloaq.
For example, this may be necessary to:
You remain responsible for ensuring that you have the rights necessary to submit your Content.
The licence does not transfer ownership of your Content to Aloaq.
Content that a User chooses to publish publicly on Aloaq may be accessible without an account.
Public pages may also be shared by other people or indexed by search engines.
Do not publish information as public Content that you do not want publicly accessible.
Aloaq cannot control copies, screenshots or cached versions created by third parties after information has been made public.
You must not upload or publish Content that infringes another person’s copyright, trademark, design rights or other intellectual property rights.
You must have the necessary rights or permission to use photographs, logos, drawings, descriptions and other Content you submit.
If you believe Content published through Aloaq infringes your intellectual property rights, contact support@aloaq.com.
Please provide enough information for Aloaq to identify the relevant Content and understand the basis of the complaint.
Aloaq may remove or restrict access to Content where reasonably appropriate.
The Aloaq name, branding, logo, software, platform design, original graphics, database structure and other intellectual property created for Aloaq are protected by applicable intellectual-property laws.
Except as permitted by law, Users must not copy, reproduce, distribute, reverse engineer or commercially exploit Aloaq’s software or protected intellectual property without permission.
Using Aloaq does not give a User ownership of Aloaq intellectual property.
Users must not use Aloaq to advertise, offer, request, buy, sell or distribute anything where doing so would be unlawful.
Users must not knowingly list:
Aloaq may establish additional listing restrictions where reasonably necessary for legal, safety, security or platform-integrity reasons.
Users must not use Aloaq to:
Where Aloaq provides communication features, Users are responsible for the messages and information they send.
Messages must not contain unlawful, fraudulent, threatening, abusive or deliberately misleading Content.
Aloaq may access or review communications where reasonably necessary to operate the Service, investigate reported misuse, protect Users, maintain security or comply with legal obligations, subject to Aloaq’s Privacy Policy and applicable law.
Users should avoid sending unnecessary sensitive or confidential information through marketplace messaging.
Where Aloaq offers artificial-intelligence-assisted features, those features are intended to assist Users and not replace human review.
AI-generated or AI-assisted information may be incorrect, incomplete or unsuitable.
Users are responsible for reviewing AI-assisted Content before publishing or relying on it.
Where a Seller publishes a listing created or assisted by AI, the Seller remains responsible for the accuracy and legality of the published listing.
AI-generated Content must not be relied upon as legal, medical, financial, engineering, regulatory or other professional advice.
Further information about handling of information used with AI features should be described in Aloaq’s Privacy Policy where applicable.
Where Aloaq provides location, address, distance or map-related features, the information may come from Users or third-party services.
Location information may be inaccurate, incomplete or outdated.
Users should confirm important addresses or locations before travelling, arranging collection or making other decisions based on location information.
Aloaq does not guarantee the accuracy of location information supplied by Users or independent data providers.
Aloaq may rely on third-party technology or services to provide parts of the Service.
This may include services relating to hosting, communications, maps, artificial intelligence, analytics, security or other technical functionality.
Aloaq does not control independent third-party services.
Third-party services may be subject to their own terms and privacy practices.
To the extent permitted by law, Aloaq is not responsible for disruption caused solely by an independent third-party service outside Aloaq’s reasonable control.
Aloaq may contain links to websites or services operated by other parties.
A link does not automatically mean that Aloaq owns, operates, guarantees or endorses the third-party website or service.
Users should review the terms, privacy policies and other relevant information of third-party services before using them.
Aloaq may, where a relevant feature is available, display information or indicators relating to a business or information supplied by a business.
Any description of a verification or checking feature should be understood according to the specific checks described by Aloaq for that feature.
Unless Aloaq expressly states otherwise, such an indicator is not a guarantee of:
Users remain responsible for making checks appropriate to their circumstances.
Aloaq is currently free to use unless a particular feature clearly states otherwise.
Aloaq may introduce paid features or services in the future.
These may include optional subscriptions, premium features, advertising, promoted visibility, additional business tools or other paid services.
No User will be charged a new Aloaq fee merely because these Terms say that fees may be introduced.
Before a new fee applies to a User, the relevant price or pricing method and applicable payment conditions will be disclosed.
Where a service involves a recurring subscription, relevant renewal and cancellation information will be provided before the User agrees to the subscription.
Users may choose not to use an optional paid feature.
Aloaq does not guarantee that every feature will remain free permanently.
Aloaq may introduce advertising, sponsored placement or promoted Content.
Where required by applicable law, paid or sponsored Content will be identified appropriately.
A Seller remains responsible for the accuracy and legality of claims contained in advertising or promoted Content supplied by that Seller.
Payment for promotion does not amount to an Aloaq guarantee of the Seller or its products.
Aloaq may develop, improve, add, modify or discontinue features.
We may make changes for reasons including security, legal requirements, technical development, User experience or changes to the Service.
Where a material change directly affects a paid service, any rights required by applicable law will continue to apply.
Aloaq does not guarantee that every existing feature will remain available permanently.
We aim to keep Aloaq available and functioning, but internet-based services can experience interruptions.
Aloaq does not guarantee uninterrupted, error-free or continuously available operation.
Access may occasionally be affected by maintenance, technical problems, security incidents, internet failures or third-party service problems.
Nothing in this section excludes responsibilities that cannot legally be excluded.
Aloaq may restrict access to the Service, suspend an account or remove Content where we reasonably believe this is necessary because of:
Where appropriate and reasonably possible, Aloaq may give the User an opportunity to explain or correct the issue.
Immediate action may be taken where reasonably necessary to address serious legal, security, fraud or safety risks.
A User may stop using Aloaq at any time.
Where account-closing functionality is available, the User may use that functionality.
Users may also contact support@aloaq.com for account-related assistance.
Account closure does not automatically remove legal obligations or liabilities arising from transactions or activities that occurred before the account was closed.
Treatment of personal information following account closure is governed by Aloaq’s Privacy Policy and applicable law.
To the fullest extent permitted by law, Aloaq does not guarantee the accuracy of information submitted by independent Users.
Aloaq does not guarantee that:
These disclaimers do not exclude any guarantee, right, duty or liability that applicable law says cannot be excluded.
Aloaq is responsible for its own conduct to the extent required by applicable law.
However, to the fullest extent permitted by law, Aloaq is not responsible for losses caused by the independent acts or omissions of a Buyer, Seller, courier, delivery provider or other third party.
This includes, where applicable, matters relating to:
This limitation does not apply to the extent a loss is caused by Aloaq’s own breach of law, negligence, fraud, wilful misconduct or another liability that cannot lawfully be excluded.
Where permitted by law and where the User is using Aloaq for business purposes, Aloaq will not be responsible for indirect or consequential business loss caused by matters outside Aloaq’s reasonable control, such as loss of anticipated profits arising solely because another User failed to complete a transaction.
This section does not exclude liability that cannot legally be excluded and does not apply to the extent the relevant loss was caused by Aloaq’s own fraud, wilful misconduct or other conduct for which liability cannot lawfully be excluded.
A business User is responsible for claims arising from its own unlawful conduct, products, services or Content.
To the extent permitted by law, a business User must compensate Aloaq for reasonable third-party losses, liabilities and legal costs to the extent directly caused by:
This obligation applies only to the extent the relevant claim or loss was caused by that business User.
It does not apply to the extent the claim or loss was caused by Aloaq’s own negligence, fraud, wilful misconduct or breach of law.
Aloaq’s collection, use and handling of personal information is addressed in the Aloaq Privacy Policy.
Users should read the Privacy Policy together with these Terms.
Users must not use personal information obtained through Aloaq in violation of applicable privacy, spam, direct-marketing or other laws.
Users must take reasonable steps to protect their accounts and login information.
You must not intentionally disclose your password to unauthorised people or allow another person to misuse your account.
If you reasonably believe that your account or login credentials have been compromised, contact support@aloaq.com.
Aloaq may take reasonable steps to protect Users and the Service from suspected unauthorised access or security threats.
Users may report:
Providing a reporting channel does not mean Aloaq guarantees that every User, listing or transaction has been checked in advance.
Aloaq may preserve, disclose, restrict or remove information where reasonably necessary to comply with applicable law, a valid court order or another legally enforceable requirement.
Where permitted by law, Aloaq may also take reasonable steps to investigate suspected fraud, security incidents or misuse of the Service.
Subject to any mandatory rights that apply under another law, these Terms are governed by the laws of Western Australia, Australia, together with applicable Commonwealth laws.
Nothing in these Terms prevents a consumer or other User from exercising a right that applicable law says cannot be restricted by contract.
If you have a concern about Aloaq itself, please first contact support@aloaq.com and provide reasonable information about the issue.
Where appropriate, we will attempt to resolve the matter without formal proceedings.
Nothing in this section prevents either party from exercising legal rights or obtaining urgent legal relief where necessary.
Aloaq may update these Terms where reasonably necessary, including because of changes to:
The latest version will be made available through Aloaq.
Where a change materially affects existing Users and applicable law requires notice or consent, Aloaq will provide the required notice or seek the required consent.
Changes will not retrospectively create charges for use that occurred while the relevant service was offered free.
These Terms, together with the Aloaq Privacy Policy and any additional terms expressly applicable to a particular feature, form the agreement relating to use of Aloaq.
Additional Seller terms governing the actual sale of a product may also apply between a Buyer and Seller.
If a court or other competent authority determines that a provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
If Aloaq does not immediately enforce a provision of these Terms, that does not automatically mean Aloaq has permanently waived the right to enforce it.
Use of Aloaq does not by itself create a partnership, employment relationship, franchise or joint venture between Aloaq and a Buyer or Seller.
A User cannot make commitments on behalf of Aloaq merely because they use the Service.
To the extent permitted by law, Aloaq is not responsible for a failure or delay caused by circumstances outside its reasonable control.
This may include major internet or telecommunications failures, widespread infrastructure failures, natural disasters, government restrictions or failures of independent third-party infrastructure.
This section does not remove rights or responsibilities that applicable law does not allow to be excluded.
